Braille Digital Art Main Faction Bylaws


Chapter 1: General Provisions

Article 1 (Name) The name of this organization shall be “Braille Digital Art Main Faction” (hereinafter referred to as “the Faction”).

Article 1-2 (Establishment) The Faction shall be an organization established within the NPO Himeji Town Management Association.

Article 1-3 (Location) The Faction shall have its principal office at the location of the NPO Himeji Town Management Association.

Article 2 (Purpose) The purpose of the Faction is to promote and develop Braille Digital Art, a new form of artistic expression co-created by the visually impaired and sighted, and to foster talent and revitalize local communities.

Article 3 (Activities) The Faction shall conduct the following activities to achieve the purpose of the preceding article:

  1. Research, study, and development of new Braille Digital Art.
  2. Talent development programs for Braille Digital Art creation (e.g., holding courses, workshops, and study groups).
  3. Activities to improve the credibility of Braille Digital Art (e.g., operating a certification system).
  4. Activities to promote and develop Braille Digital Art (e.g., holding exhibitions and events, presenting works, and disseminating information).
  5. Activities related to community revitalization through Braille Digital Art (e.g., networking events, a Web3.0 research lab, utilizing NFTs and tokens, and operating a metaverse gallery).
  6. Activities for local community revitalization using Braille Digital Art (e.g., local collaboration projects, tourism promotion, and partnerships with cultural heritage sites).
  7. Other activities necessary to achieve the Faction’s purpose.

Chapter 2: Members

Article 4 (Membership Qualifications) Members of the Faction shall be individuals or organizations who agree with the Faction’s purpose and accept these bylaws. The types of members are as follows:

  1. Full Members: Individuals or organizations who actively support the Faction’s activities and participate in its management.
  2. Supporting Members: Individuals or organizations who support the Faction’s activities.
  3. Student Members: Students who are interested in Braille Digital Art.

Article 5 (Admission) A person or organization wishing to join as a member must submit a separately determined application form to the representative and obtain approval from the board of directors.

Article 6 (Withdrawal) Members may voluntarily withdraw from the Faction by submitting a separately determined withdrawal notice to the representative. A member may be expelled by a resolution of the board of directors if they fall under any of the following:

  1. Engaging in an act that significantly hinders the Faction’s purpose.
  2. Engaging in an act that violates these bylaws.
  3. Continuously failing to pay membership fees.
  4. Any other act deemed inappropriate for a member.

Article 7 (Member Rights) Full members shall have voting rights at the general meeting. The rights of other members shall be determined separately.

Article 8 (Member Obligations) Members shall have the obligation to comply with these bylaws and the resolutions of the general meeting and the board of directors, and to cooperate with the Faction’s activities to achieve its purpose.

Article 9 (Admission and Membership Fees)

  1. Members must pay a separately determined admission fee and annual membership fee.
  2. The amounts of the admission fee and annual membership fee shall be determined separately by a resolution of the general meeting.

Chapter 3: Chapters

Article 10 (Establishment of Chapters)

  1. For the purpose of achieving the Faction’s goals, chapters may be established in specific regions as needed.
  2. The location, organization, and activities of a chapter shall be governed by separate chapter bylaws.
  3. The establishment and dissolution of a chapter must be approved by the general meeting after a resolution of the board of directors.

Article 11 (Chapter Activities)

  1. Under the general supervision of the Faction, a chapter shall conduct activities such as the promotion, development, and talent development of Braille Digital Art in accordance with the characteristics of its region.
  2. A chapter shall establish a chapter general meeting and a chapter board of directors, and its management shall be governed by separate chapter bylaws.
  3. Chapter bylaws shall be created in accordance with these bylaws and must be approved by the Faction.

Article 12 (Chapter Representatives)

  1. Each chapter shall have one head and a few vice heads.
  2. The chapter head shall oversee the chapter’s activities and coordinate with the Faction.
  3. The chapter head shall be selected from among the chapter’s members and must be approved by the Faction.

Article 13 (Chapter Accounting)

  1. The Faction may audit the accounting status of a chapter as needed.
  2. A chapter may maintain a separate accounting system.
  3. The chapter’s accounting shall be managed by the chapter head, who must periodically report its financial status to the Faction.

Chapter 4: Officers

Article 14 (Types and Number of Officers) The Faction shall have the following officers:

  1. Representative: 1
  2. Vice Representative: A few
  3. Director: A few
  4. Auditor: 1

Article 15 (Appointment of Officers) Officers shall be appointed from among the members at the general meeting.

Article 16 (Duties and Powers of Officers)

  1. The Representative shall represent the Faction and oversee its affairs.
  2. The Vice Representative shall assist the Representative and act on their behalf when the Representative is incapacitated or absent.
  3. The Directors shall form the board of directors and execute the Faction’s affairs based on its business plan.
  4. The Auditor shall audit the Faction’s accounting and business execution.

Article 17 (Term of Office) The term of office for officers shall be two years. Reappointment is not restricted.

Article 18 (Dismissal of Officers) Officers may be dismissed by a resolution of the general meeting.


Chapter 5: Meetings

Article 19 (Types of Meetings) The Faction’s meetings shall be the general meeting and the board of directors meeting.

Article 20 (General Meeting)

  1. The general meeting shall be the supreme decision-making body of the Faction and shall be composed of full members.
  2. The general meeting shall consist of an annual general meeting and an extraordinary general meeting.
  3. The annual general meeting shall be held once a year.
  4. The extraordinary general meeting shall be convened by the Representative as needed.
  5. The Representative shall serve as the chairperson of the general meeting.
  6. Resolutions of the general meeting shall be made with the approval of a majority of the full members present.

Article 21 (Matters for Resolution at the General Meeting) The general meeting shall resolve the following matters:

  1. Amendments to the bylaws.
  2. Business plans and budgets.
  3. Business reports and financial statements.
  4. Appointment and dismissal of officers.
  5. The amount of membership fees.
  6. Other important matters concerning the Faction’s operations.

Article 22 (Board of Directors Meeting)

  1. The board of directors meeting shall be composed of the Representative, Vice Representative, and Directors.
  2. The board of directors meeting shall be convened by the Representative as needed.
  3. The Representative shall serve as the chairperson of the board of directors meeting.
  4. Resolutions of the board of directors meeting shall be made with the approval of a majority of the officers present.

Article 23 (Matters for Resolution at the Board of Directors Meeting) Based on the resolutions of the general meeting, the board of directors shall decide and execute the following matters:

  1. The concrete implementation of the business plan.
  2. The execution of the budget.
  3. The admission and withdrawal of members.
  4. Other matters concerning the Faction’s operations that do not require a resolution of the general meeting.

Chapter 6: Accounting

Article 24 (Fiscal Year) The fiscal year of the Faction shall be from April 1 to March 31 of the following year.

Article 25 (Accounting Procedures) The Faction’s accounting procedures shall be conducted based on separate accounting regulations.

Article 26 (Audit) The Auditor shall audit the Faction’s accounting and business execution and report the results to the general meeting.


Chapter 7: Assets

Article 27 (Composition of Assets) The Faction’s assets shall be composed of the following:

  1. Membership fees.
  2. Business revenue.
  3. Donations.
  4. Other income.

Article 28 (Management and Disposal of Assets) The Faction’s assets shall be managed by the Representative, and their disposal must be approved by a resolution of the general meeting. However, routine expenses may be incurred with the approval of the board of directors.


Chapter 8: Information Disclosure

Article 29 (Disclosure of Activities) The Faction shall disclose information regarding its business activities, financial status, and officers to its members and the public through a separately determined method.


Chapter 9: Amendments to Bylaws and Dissolution

Article 30 (Amendments to Bylaws) These bylaws cannot be amended without the approval of at least two-thirds of the full members present at the general meeting.

Article 31 (Dissolution) The Faction may be dissolved with the approval of at least two-thirds of the full members present at the general meeting. Any remaining assets upon dissolution shall be donated to another organization with a similar purpose, based on a resolution of the general meeting.


Chapter 10: Supplementary Provisions

Article 32 (Membership Fees) Notwithstanding the provisions of Article 9, the membership fees at the time of the initial enactment of these bylaws shall be as follows:

  1. Admission Fee a. Full Member: ¥10,000 b. Supporting Member: ¥5,000 c. Student Member: ¥1,000
  2. Annual Membership Fee a. Full Member (Individual): ¥30,000 b. Full Member (Organization/Corporation): ¥30,000 per unit c. Supporting Member (Individual): ¥3,000 d. Supporting Member (Organization/Corporation): ¥10,000 per unit e. Student Member: ¥2,000

Article 33 (Effective Date) These bylaws shall come into effect on April 22, 2025.



Braille Digital Art Main Faction: [Chapter Name] Chapter Bylaws


Chapter 1: General Provisions

Article 1 (Name) This chapter shall be called “Braille Digital Art Main Faction, [Chapter Name] Chapter” (hereinafter referred to as “the Chapter”).

Article 2 (Location) The Chapter’s location shall be [Location, e.g., XX-cho, XX-shi].

Article 3 (Purpose) The Chapter’s purpose is to promote, develop, and foster talent in Braille Digital Art, and to revitalize the local community, in accordance with the purpose and activity guidelines of the Braille Digital Art Main Faction.

Article 4 (Activities) To achieve the purpose of the preceding article, the Chapter shall conduct the following activities:

  1. Community-based promotion of Braille Digital Art.
  2. Holding courses, workshops, and study groups for Chapter members.
  3. Holding exhibitions and events that leverage the local community’s unique characteristics.
  4. Other activities necessary to achieve the Chapter’s purpose.

Chapter 2: Members

Article 5 (Membership Qualifications) Members of the Chapter shall be individuals or organizations who are members of the Braille Digital Art Main Faction and who agree with the Chapter’s activities.

Article 6 (Admission and Withdrawal) Admission and withdrawal shall be in accordance with the bylaws of the Braille Digital Art Main Faction.

Article 7 (Membership Fees) The expenses necessary for the Chapter’s operations shall be covered by funds allocated from the Main Faction, income from the Chapter’s activities, and donations. As a general rule, the Chapter shall not collect its own membership fees. However, the Chapter may collect separate fees if a resolution is passed at the Chapter’s general meeting.


Chapter 3: Officers

Article 8 (Types and Number of Officers) The Chapter shall have the following officers:

  1. Chapter Head: 1
  2. Vice Chapter Heads: A few

Article 9 (Appointment of Officers) The Chapter Head and Vice Chapter Heads shall be appointed from among the Chapter members at the Chapter’s general meeting and must obtain approval from the Main Faction.

Article 10 (Duties and Powers of Officers)

  1. The Chapter Head shall represent the Chapter and oversee its activities.
  2. The Vice Chapter Heads shall assist the Chapter Head and act on their behalf when the Chapter Head is incapacitated or absent.

Article 11 (Term of Office) The term of office for officers shall be two years. Reappointment is not restricted.

  1. The Chapter’s general meeting shall be its supreme decision-making body, composed of the Chapter’s members.

Article 13 (Matters for Resolution) The Chapter’s general meeting shall resolve the following matters:

  1. Amendments to the Chapter bylaws.
  2. Business plans and budgets.
  3. Business reports and financial statements.
  4. Appointment and dismissal of officers.
  5. Other important matters concerning the Chapter’s operations.

Chapter 5: Accounting

Article 14 (Fiscal Year) The Chapter’s fiscal year shall be in accordance with the fiscal year of the Braille Digital Art Main Faction.

Article 15 (Accounting Report) The Chapter’s accounting shall be managed by the Chapter Head, who must periodically report its financial status to the Main Faction.


Supplementary Provisions

Article 16 (Amendments to Bylaws) These bylaws cannot be amended without the approval of at least two-thirds of the Chapter members present at the Chapter’s general meeting and the approval of the Main Faction.

Article 17 (Effective Date) These bylaws shall come into effect on the date of approval by the Main Faction.
